CONCLUSIONS FROM THE CONSULTATION ON THE TREATMENT OF FOREIGN PRIVATE ISSUERS IN THE MSCI USA EQUITY UNIVERSE

MSCI announced today the conclusions from its recent consultation with the investment community on the treatment of Foreign Private Issuers (FPIs) in the MSCI USA Equity Universe.

The majority of the market participants agreed with the proposal to make FPIs eligible in the MSCI USA Equity Universe. However, some expressed concerns regarding the inclusion into the MSCI Global Investable Market Indexes and the MSCI US Equity Indexes of companies classified in the US that do not file a Form 10-K/10-Q, given the potential lack of transparency and completeness of information.

Therefore, starting from the November 2021 Semi-Annual Index Review, MSCI will treat FPIs classified in the US as eligible for the MSCI USA Equity Universe. However, such companies will be required to file a Form 10-K/10-Q to be eligible for potential inclusion in the MSCI USA Indexes and the MSCI US Equity Indexes.
